Represented Chilean retailer Cencosud S.A. in the acquisition of G Barbosa, one of the biggest supermarket chains in Brazil.
Assisted Jinko Solar in the due diligence and issuance of legal opinions in connection with its Brazilian renewable energy operations.
Chile
Represented El Paso Corporation in an asset swap transaction as a result of which El Paso became the owner of 100% of Triunion, which holds a 21.8% interest in Gasoducto del Pacífico that operates the Argentina-Chile Gasoducto del Pacífico pipeline connecting the Neuquén gas producing basin to the city of Concepción in Chile, across the Andes mountains.
Assisted JinkoSolar in the due diligence and issuance of legal opinions in connection with its Chilean renewable energy operations.
Colombia
Represented WPX Energy in the merger and sale agreement of Apco Oil and Gas International (“APCO”) with privately held Pluspetrol Resources Corporation (“Pluspetrol”). WPX Energy owns a 69% controlling ownership interest in APCO which holds interests in three (3) exploration and production contracts in Colombia.
Mexico
Assisted Jinko Solar in the due diligence and issuance of legal opinions in connection with its Mexican renewable energy operations.
Peru
Advised Geopark in the acquisition of a 75% interest in a Joint Venture with Petroperu, including carry investments of more than US$ 100 million.
Uruguay
Assisted Fyffes in its acquisition of Uruguayan and other Latam targets operating in the food industry.
Venezuela
Represented Banco Santander S.A. (financial advisor) in the acquisition of a controlling shareholding in Colorín I.M.S.S.A. (Argentina’s second largest paint and coating producer) by the Corimon Group (a Venezuelan conglomerate) and in the refinancing and restructuring of Colorin’s indebtedness.
Advised IFC in the drafting and negotiation of joint venture agreements with PDVSA and other oil companies for the “Colon” and “Quiamare-La Ceiba” blocks.
